ROMAN VOYAGES | B2B PORTAL TERMS AND CONDITIONS

Purpose, Scope and Contracting Parties

These Terms and Conditions (the “Terms”) govern access to and use of the Roman Voyages business-to-business online booking portal, related reservation tools, support channels and ticketing services (collectively, the “Portal”). The Portal is operated by Roman Voyages from its registered office in Nocera Inferiore, Italy.

The Terms apply only to business users acting in the course of a trade, profession or corporate travel function. They apply to travel agencies, corporate travel agencies, tour operators, consolidators, sub-agents and their authorised employees or contractors (each a “Client”). They are not consumer-facing terms.

By registering, logging in, creating or managing a booking, requesting ticket issuance, making a payment or otherwise using the Portal, the Client confirms that it has read, understood and accepted these Terms and has authority to bind the organisation represented by the user.

Hotel, package travel, visa, insurance, transfer and other non-air services may be governed by separate supplier terms and service-specific conditions. If there is a conflict, the service-specific written conditions prevail for that service.

Definitions

  • ADM. an Agency Debit Memo or equivalent debit, charge, invoice or adjustment raised by an Airline, GDS, ticketing authority, acquiring bank, payment provider or supplier.
  • Airline. the validating, marketing, operating or ticketing carrier, as applicable.
  • Airline Rules. the Airline’s current fare rules, conditions of carriage, reservation and ticketing policies, distribution rules, NDC/GDS rules, debit memo policy and operational instructions.
  • Booking. a PNR, order, itinerary, held reservation, ticket, EMD, ancillary service or related transaction created or managed through the Portal.
  • Booking Owner. the Client account under which a Booking is created, imported, queued, ticketed, changed or controlled, including the organisation that owns or supervises the individual login used.
  • Client Funds. wallet balances, deposits, credit balances, bank transfers, card receipts or other amounts made available for Portal transactions.
  • Corporate Travel Agency. a company, travel-management company, corporate travel desk or other business arranging travel for employees, contractors, customers or related entities.
  • Fare. the base fare plus taxes, fees, surcharges and any Roman Voyages or supplier service charge displayed or confirmed at the relevant time.
  • GDS. a global distribution system, computer reservation system, NDC connection or other airline distribution channel.
  • Malpractice. any prohibited, abusive, deceptive, negligent, fraudulent or non-compliant booking, ticketing, payment, refund or account activity.
  • Passenger. the person named in or intended to travel under a Booking.

B2B Eligibility, Registration and Authority

The Client must provide accurate, complete and current registration, licensing, tax, ownership, banking and contact information. Roman Voyages may request evidence of business status, identity, authority, accreditation, financial standing or regulatory compliance at any time.
The Client warrants that every person using its account is properly trained, authorised and acting within the scope of that authority. The Client remains responsible for all acts and omissions carried out through its account, including activities of employees, contractors, branches, corporate desks and sub-agents.
Roman Voyages may approve, reject, restrict or condition an application at its reasonable discretion, subject to applicable law and any separate written agreement.

Account Security and Access Controls

  • Login credentials are personal to the authorised user and must not be shared, sold, transferred or used by an unauthorised third party.
  • The Client must maintain appropriate password, device, network, personnel and access controls and promptly disable access for departing or reassigned personnel.
  • Suspected compromise, fraud, unauthorised use or incorrect access rights must be reported to Roman Voyages immediately.
  • The Client is responsible for instructions and transactions authenticated through its account until Roman Voyages has had a reasonable opportunity to act on a valid security notice.

Roman Voyages may require multifactor authentication, identity verification, password resets or other controls and may temporarily block access where necessary to protect the Portal, suppliers, passengers or funds.

Role of Roman Voyages and Supplier Contracts

Unless Roman Voyages expressly confirms otherwise in writing, Roman Voyages acts as a B2B booking and ticketing intermediary. The Airline provides the air transport and remains responsible for operating the flight and performing its conditions of carriage.
Each Booking is also governed by the applicable Airline Rules. Those rules may impose additional restrictions, deadlines, penalties, baggage rules, change conditions, no-show consequences and ADM policies. The Client must review and communicate all applicable conditions to its Passenger or corporate customer before confirmation and payment.
Roman Voyages does not control Airline inventory, schedules, aircraft, operations, fare filing, taxes, airport decisions, government requirements or GDS/NDC availability.

Booking Creation and Airline Policy Compliance

Every Booking must be created and managed strictly in accordance with the current Airline Rules, GDS/NDC rules, fare rules, ticketing deadlines and Roman Voyages instructions. The Client must verify the rules applicable to the exact itinerary and fare before creating, confirming, modifying, cancelling, refunding or reissuing a Booking.

Passenger and itinerary data

  • Enter each Passenger’s full name exactly as shown on the travel document, together with correct title, date of birth, gender marker and other required secure-flight or government information.
  • Use genuine Passenger contact details, or provide authorised agency contact details where the Airline Rules permit, and comply with any obligation to transmit disruption notifications.
  • Verify dates, airports, terminals, sectors, booking class, baggage, connection times, visa/transit requirements and special-service requests before ticketing.
  • Do not assume that Roman Voyages support review transfers responsibility away from the Booking Owner.

Ticketing authority and deadlines

A held Booking is not a confirmed ticket. The Client must request and verify ticket issuance before the applicable ticketing time limit. Roman Voyages may refuse or delay issuance where funds, authority, fare, inventory, identity or compliance checks are incomplete.
The Booking Owner must inspect the issued ticket, e-ticket receipt, validating carrier, fare basis, taxes, baggage and passenger data immediately and report any discrepancy without delay and before departure.

Prohibited Practices and Malpractice

The following conduct is prohibited unless expressly authorised by the Airline Rules and Roman Voyages in writing:

  • Duplicate, speculative, test, fictitious or impossible Bookings, including Bookings created without a genuine Passenger intention to travel.
  • Churning: repeatedly booking and cancelling the same or similar space to avoid ticketing deadlines, obtain productivity credit, manipulate inventory or retain availability.
  • Creating overlapping, conflicting or multiple itineraries for the same Passenger where the Passenger cannot reasonably use all sectors.
  • Hidden-city, throwaway, back-to-back or cross-border ticketing, point-beyond manipulation, or use of a fare contrary to its origin, destination, sequence or eligibility rules.
  • Breaking, bypassing, unlinking or manipulating married segments or origin-and-destination controls.
  • Improper use of passive, open, waitlist, no-name, group, blocked-space or status segments.
  • Holding inventory merely to block availability, influence pricing or prevent access by other customers.
  • Unauthorised changes to PNR ownership, ticket stock, validating carrier, point of sale, country, currency, tour code, account code, corporate identifier or commission.
  • Use of false names, false documents, fabricated eligibility, altered invoices, misleading Passenger data or another person’s identity.
  • Unauthorised card use, split or circular payments, cash conversion, chargeback abuse, payment laundering or any transaction linked to fraud or unlawful activity.
  • Circumventing payment, credit, wallet, security, sanction, fraud-screening or account restrictions
  • Issuing, reissuing, exchanging, voiding or refunding a ticket or EMD contrary to fare rules, Airline authority, applicable tax rules or Roman Voyages instructions.
  • Removing or failing to cancel inactive segments, failing to action schedule changes, or otherwise allowing a PNR to generate avoidable supplier costs.
  • Accessing, scraping, copying, reverse engineering, overloading or interfering with the Portal or using automated tools without written permission.
  • Any activity that breaches applicable law, sanctions, anti-bribery, anti-money-laundering, consumer-protection, data-protection or travel-document rules.

Roman Voyages may investigate suspected Malpractice and may cancel or inhibit affected Bookings, restrict ticketing, freeze funds to the extent permitted by law, suspend access, request documents, report activity to the relevant supplier or authority, and recover all resulting losses, ADMs, fees and expenses.

Fares, Taxes, Availability and Pricing Changes

All Fares, seats, booking classes, taxes, surcharges and ancillary services are subject to live Airline and supplier availability. They may change, be withdrawn, expire or become unavailable at any time without prior notice, including between search, selection, reservation, payment and ticket issuance.
A displayed, quoted or held Fare is not guaranteed until the Airline accepts the transaction and a valid ticket or service document is issued and verified. If the Fare changes before issuance, the Client may accept the new price or cancel the request, subject to any already-incurred supplier charge.
Pricing, tax, currency, system or loading errors do not bind Roman Voyages where the error is obvious or the supplier refuses to honour it. Roman Voyages will notify the Client and, where reasonably possible, offer the correct price or reverse the affected uncompleted transaction.
The Client is responsible for checking whether a Fare is private, negotiated, corporate, marine, student, labour, group, resident or otherwise restricted and for holding evidence of eligibility.

Payments, Wallets, Credit and Settlement

The Client must maintain sufficient cleared funds or approved credit before ticket issuance or service confirmation. A payment instruction is not complete until Roman Voyages has received cleared, irrevocable funds and matched them to the correct Client account.

  • Bank, card, foreign-exchange, intermediary, chargeback and payment-processing costs may be charged to the Client where disclosed or incurred because of the Client’s method, error, reversal or non-compliance.
  • The Client must not deduct, set off, withhold or reverse amounts owed unless Roman Voyages has issued a written credit or applicable law requires otherwise.
  • Roman Voyages may apply available Client Funds or credits against due and undisputed Bookings, ADMs, chargebacks, penalties, fees or other amounts owed, subject to applicable law and any separate credit agreement.
  • Credit limits, security deposits and wallet facilities may be modified, suspended or withdrawn following risk review, non-payment, suspected fraud, supplier action or material breach.

The Client must promptly review statements and notify Roman Voyages of a specific discrepancy. A notice does not suspend the Client’s obligation to pay undisputed amounts.

Ticket Issuance, Delivery and Verification

Ticket issuance is subject to successful payment, Airline authority, available inventory, system connectivity, fare validation, fraud screening and compliance checks. Roman Voyages may require written confirmation or supporting evidence before issuing high-risk or unusual transactions.
Electronic delivery to the Portal account, registered email or agreed queue constitutes delivery to the Client. The Client must verify receipt and accuracy and provide the Passenger with the itinerary, ticket, fare restrictions, baggage information and required notices.
Any request outside normal automated processing, including manual fare construction, group handling, name correction, waiver support or after-hours emergency action, may attract an additional service fee disclosed before or when the work is accepted.

Changes, Reissues, Cancellations, Voids and No-Shows

All changes, reissues, cancellations and voids are subject to Airline Rules, availability, fare difference, tax difference, penalty, service fee and ticketing authority. A request is not effective until processed and confirmed in the relevant system.
The Client must submit instructions through an approved channel with sufficient time for processing. Roman Voyages is not responsible for a missed deadline where instructions are late, incomplete, ambiguous, sent to an unapproved address or blocked by an Airline or system.
Failure to cancel before departure may result in a no-show, cancellation of remaining sectors, loss of ticket value and additional charges. The Client must inform Passengers of these consequences and verify the status of all onward and return sectors.
Name changes or corrections are permitted only where the Airline allows them and may require cancellation and rebooking, fare difference, a new ticket or documentary evidence.

Refunds and Credits

Refund eligibility is determined by the applicable fare rules, Airline Rules, ticket status, route, reason for cancellation and mandatory law. Some Fares, taxes, service fees and ancillaries may be wholly or partly non-refundable.
Roman Voyages will submit an eligible and properly documented refund request to the relevant Airline or supplier within a reasonable operational period. Airline refunds are subject to the Airline’s own minimum processing and settlement time, audit, authorisation and payment cycle. Any estimated completion date is indicative only unless mandatory law provides otherwise.
Roman Voyages cannot credit the Client before the refund is approved and received from the Airline or supplier, except where Roman Voyages is legally required or expressly agrees in writing to advance the amount. After receipt and reconciliation, Roman Voyages will credit the Client’s original payment channel or Portal balance as soon as reasonably practicable.
The Client must provide all requested documents, waiver codes, cancellation evidence, Passenger authority and bank or card information required to process the refund. Missing or incorrect information may delay or prevent processing.
Nothing in these Terms excludes or reduces rights that cannot lawfully be excluded, including mandatory passenger reimbursement rights where applicable. The Client remains responsible for handling its own customer communications and payments in accordance with the law and its contract with that customer.

Schedule Changes, Disruptions and Airline Insolvency

Airlines may change schedules, routes, aircraft, airports, terminals, operating carriers or booking status without Roman Voyages’ control. The Client must monitor queues, messages, emails and Booking status and promptly inform affected Passengers.
Rebooking, rerouting, refund and assistance options are governed by Airline Rules and applicable mandatory passenger-rights law. Roman Voyages will provide reasonable agency support but does not operate flights and cannot guarantee Airline response or performance.
If an Airline, supplier or payment intermediary becomes insolvent, suspends operations or withholds funds, Roman Voyages’ obligation to remit a refund is limited to funds actually recovered, except to the extent mandatory law provides otherwise.

Agency Debit Memos (ADMs), Debit Charges and Booking-Owner Liability

The Booking Owner is fully responsible for every ADM and related charge arising from a Booking created, imported, queued, ticketed, changed, exchanged, voided, refunded or otherwise managed through its account, whether the activity was performed by the Client, a corporate travel agency, corporate travel desk, branch, employee, contractor, sub-agent or other authorised or unauthorised person using the Client’s access.

Recoverable Amounts

Recoverable amounts include the ADM principal, fare and tax difference, commission recall, chargeback, card cost, GDS/NDC fee, supplier penalty, exchange loss, bank fee, tax, interest where lawful, Roman Voyages administration fee where disclosed, and reasonable recovery or professional costs.

Common ADM Causes

  • Fare, tax, surcharge, commission, tour code, corporate code or ticketing errors.
  • Duplicate, speculative, churning, hidden-city, back-to-back, cross-border, married-segment or inventory abuse.
  • Incorrect booking class, point of sale, validating carrier, fare basis, endorsement, baggage or eligibility.
  • Unauthorised refunds, exchanges, voids, reissues, name changes, EMD activity or card transactions.
  • Chargebacks, fraud, invalid cards, cardholder disputes or failure to obtain required authorisation and evidence.
  • Failure to cancel inactive segments, action schedule changes, observe ticketing deadlines or follow Airline booking policy.

Notice, Review & Dispute

Roman Voyages will provide the Booking Owner with reasonably available ADM details. The Booking Owner must review the notice immediately and submit a complete, evidence-supported dispute within the earlier of: (a) the deadline stated in the notice; or (b) the time required for Roman Voyages to preserve any dispute right under the Airline, BSP, GDS or supplier process.
Roman Voyages may decide whether and how to submit a dispute, taking account of the evidence, supplier rules, cost and deadline. Submission of a dispute does not guarantee reversal and does not relieve the Booking Owner from paying an amount that becomes due.

Payment & recovery

A valid or finally upheld ADM is immediately payable by the Booking Owner upon demand or by the due date specified by Roman Voyages. If no due date is stated, payment is due within seven calendar days after notice. Roman Voyages may debit available Client Funds, suspend ticketing or credit, and use lawful recovery measures.
Where Roman Voyages successfully obtains a full or partial ADM cancellation or Agency Credit Memo (ACM), the corresponding net amount will be credited after receipt and reconciliation, less any agreed or properly disclosed costs.

Payment Card Use, Fraud and Chargebacks

The Client must use payment cards only with lawful cardholder authority and must comply with Airline, acquiring-bank, payment-provider, PCI DSS and applicable authentication requirements. Card data must never be entered into free-text fields or transmitted through insecure channels.
The Client must retain booking instructions, cardholder authority, authentication evidence, invoices, Passenger communications, identity checks and other supporting documents for the period required by applicable rules and provide them promptly upon request.
The Booking Owner is liable for chargebacks, fraud losses and related fees connected with its Bookings unless Roman Voyages confirms in writing that it accepts merchant risk for the specific transaction.

Passenger Information, Travel Documents and Special Requirements

The Client is responsible for ensuring that each Passenger receives accurate information about passports, visas, transit visas, health formalities, entry restrictions, onward travel, insurance and destination requirements. Requirements can change without notice and must be checked with competent authorities.
Roman Voyages does not guarantee entry, boarding, visa issuance or acceptance of any document. Denied boarding caused by missing, invalid, damaged or non-compliant documents is governed by Airline Rules and applicable law.
Medical, disability, unaccompanied-minor, pet, sports-equipment, meal and other special-service requests are subject to Airline approval and are not guaranteed merely because they appear as requested in a PNR.

Corporate Customers, Sub-Agents and Resale

A Client arranging travel for a corporate customer, related company or Passenger acts as the Booking Owner and remains directly liable to Roman Voyages. The Client’s inability to collect from its own customer does not delay, reduce or cancel the Client’s payment obligations.
The Client must impose terms on its corporate customers, branches and sub-agents that are no less protective of Roman Voyages and the relevant suppliers in relation to Airline Rules, Malpractice, payment, ADMs, fraud, data and Passenger communications.
The Client may not represent that it is Roman Voyages, bind Roman Voyages, use Roman Voyages’ credentials or ticketing authority outside the permitted service, or appoint a sub-agent to access the Portal without written approval where required.

Data Protection and Confidentiality

Each party must comply with applicable data-protection law, including Regulation (EU) 2016/679 where applicable. Depending on the processing activity, the parties may act as independent controllers or in another legally defined role. Any required data-processing agreement or controller arrangement must be documented separately.
The Client warrants that it has a lawful basis and has provided all required notices for collecting and transmitting Passenger, employee, corporate-contact and payment-related personal data to Roman Voyages, Airlines, GDS/NDC providers, authorities and service suppliers, including necessary international transfers.
The Client must limit data to what is necessary, keep it accurate, protect it with appropriate technical and organisational measures, restrict access, and notify Roman Voyages promptly of any relevant personal-data breach or rights request.
Commercial terms, credentials, fare access, supplier communications, security information and non-public Portal materials are confidential and may be used only to perform the business relationship.

Sanctions, Anti-Bribery and Lawful Use

The Client must not use the Portal for a sanctioned person, prohibited destination, unlawful transaction, bribery, money laundering, terrorist financing, trafficking or evasion of trade, currency or travel restrictions. Roman Voyages may screen transactions and request beneficial-owner, source-of-funds, Passenger or purpose-of-travel information.
Roman Voyages may refuse, hold, cancel or report a transaction where reasonably required for legal or compliance purposes and is not required to disclose confidential screening criteria.

Portal Availability, Maintenance and Electronic Communications

The Portal is provided on an “as available” basis. Maintenance, supplier outages, network failures, cyber incidents, force majeure, inventory updates or government action may interrupt access or processing. Roman Voyages will use reasonable efforts to restore service but does not guarantee continuous or error-free availability.
The Client must maintain alternative communication and operational procedures for urgent travel. Portal notifications, registered-email messages, support tickets and system records may be relied upon as business communications and transaction evidence, subject to applicable law.

Intellectual Property and Permitted Use

The Portal, software, interfaces, databases, content, trademarks, workflows and documentation are owned by or licensed to Roman Voyages and its suppliers. The Client receives a limited, non-exclusive, non-transferable and revocable right to use them for authorised B2B travel transactions during the relationship.
The Client may not copy, license, resell, scrape, reverse engineer, create derivative systems from, publish non-public fares from, or commercially exploit Portal content except as expressly permitted in writing.

Records, Audit and Cooperation

The Client must maintain complete and accurate Booking, payment, Passenger-authority, fare-eligibility and customer-communication records for the period required by applicable law, Airline Rules and card or supplier procedures.
Where reasonably necessary to investigate a transaction, respond to an ADM or chargeback, meet a legal obligation or protect the Portal, the Client must provide relevant records promptly. Roman Voyages will limit requests to information reasonably connected with the matter and handle personal data in accordance with applicable law.

Suspension, Restriction and Termination

Roman Voyages may suspend or restrict an account, credit facility, wallet, Booking or ticketing service immediately where there is suspected fraud, Malpractice, security compromise, non-payment, insolvency risk, supplier instruction, legal requirement, material breach or a risk to Roman Voyages, an Airline, a Passenger or another Client.
Either party may terminate the Portal relationship by written notice in accordance with any separate commercial agreement. Termination does not affect accrued rights, issued tickets, payment duties, ADMs, chargebacks, confidentiality, data obligations, indemnities or clauses intended to survive.
The Client must stop using the Portal and Roman Voyages credentials immediately upon termination and cooperate in the orderly handling of open Bookings.

Liability and Indemnity

Roman Voyages is responsible for direct loss caused by its proven breach only to the extent required by applicable law and subject to any valid limitation agreed in writing. Roman Voyages is not responsible for an Airline’s operation, schedule, cancellation, insolvency, baggage handling, denied boarding, service quality or failure to perform.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill, opportunity or anticipated savings, except where such limitation is prohibited by law.
The Client will indemnify Roman Voyages against third-party claims, ADMs, chargebacks, penalties, costs and losses arising from the Client’s Booking data, Malpractice, unauthorised activity, payment failure, breach of Airline Rules, failure to inform a Passenger, infringement of rights or breach of law, except to the extent caused by Roman Voyages’ own fault.
No clause excludes liability that cannot legally be excluded, including liability for fraud, wilful misconduct or other mandatory categories. Italian counsel should set any financial liability cap and confirm enforceability before publication.

Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, terrorism, civil disorder, strike, airport or airspace closure, government action, sanctions, utility or telecommunications failure, supplier system outage or cyberattack, provided the affected party takes reasonable steps to mitigate the effect.
Force majeure does not excuse payment for services already performed, issued documents, ADMs, chargebacks or other accrued obligations.

Amendments and Order of Precedence

Roman Voyages may amend these Terms to reflect legal, supplier, security, technical or commercial changes. Material changes will be notified through the Portal, registered email or another durable business channel and will take effect on the stated date.
If documents conflict, the following order applies unless expressly agreed otherwise: (1) mandatory law; (2) a signed bilateral agreement; (3) service-specific written conditions; (4) these Terms; (5) Portal guidance. Airline Rules continue to govern the Airline service and may impose stricter Booking requirements.

Governing Law and Jurisdiction

These Terms and the B2B relationship are governed by Italian law, excluding conflict-of-law rules, except where mandatory law requires otherwise.
Subject to any agreed escalation or mediation process, the courts having territorial jurisdiction over Nocera Inferiore, Italy shall have exclusive jurisdiction over B2B disputes, to the extent a valid forum clause may be agreed. Italian counsel must confirm the exact competent court and wording before publication.

Notices

Operational notices may be delivered through the Portal, support system or registered business email. Formal legal notices to Roman Voyages should be sent to mathewjijo@pec.it and the registered office. The Client must keep its notice details current and is responsible for monitoring them.

General Provisions

  • Entire agreement. These Terms, together with incorporated documents and signed agreements, form the agreement for Portal use.
  • Severability. If a provision is invalid or unenforceable, it will be limited or removed to the minimum extent necessary without affecting the remaining provisions.
  • No waiver. Delay or failure to enforce a right is not a waiver.
  • Assignment. The Client may not assign or transfer its account or obligations without Roman Voyages’ written consent. Roman Voyages may assign the relationship as part of a lawful business transfer, subject to applicable law.
  • No partnership. The Terms do not create employment, partnership, franchise, fiduciary relationship or authority for the Client to bind Roman Voyages.
  • Language. If the Terms are translated, the version expressly designated by Roman Voyages as controlling will prevail, subject to mandatory law.
  • Electronic acceptance. Electronic acceptance, Portal logs and authenticated instructions may evidence agreement and transactions to the extent permitted by law.
